Terms of Use

Govern the use of the 7CENTER B2B marketplace platform. Effective March 1, 2026.

Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and 7Center Global Trade Ecosystem Co., Ltd. ("7CENTER," "we," "us," or "our") governing your access to and use of our B2B marketplace platform, websites, mobile applications, and related services (collectively, the "Platform"). By registering an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

These Terms are effective as of March 1, 2026.

Account Registration

  • Provide accurate, current, and complete company and contact information
  • Maintain and promptly update your account information
  • Be at least 18 years of age and authorized to bind your company
  • Complete identity verification (KYC) as required
  • Maintain the confidentiality of your password and account credentials
  • Accept responsibility for all activities under your account

Marketplace Services

7CENTER operates as an intermediary platform connecting buyers and sellers. We facilitate transactions but do not take title to goods, manufacture products, or act as a party to buyer-seller contracts. We provide tools for discovery, communication, payment processing, dispute resolution, and logistics coordination. Each transaction is a direct contract between the buyer and seller. We are not responsible for the quality, legality, or fulfillment of products listed by third-party sellers.

Buyer Obligations

  • Provide accurate information for orders, shipping, and payments
  • Comply with payment terms and pay for orders in accordance with agreed terms
  • Use the Platform and purchased goods for lawful purposes only
  • Respect intellectual property rights and do not infringe upon third-party IP

Seller Obligations

  • Ensure product listings are accurate, complete, and not misleading
  • Fulfill orders in a timely manner and meet delivery commitments
  • Maintain quality standards consistent with product descriptions
  • Comply with all applicable laws, including export controls and customs regulations
  • Provide proper documentation, invoices, and certificates as required

Prohibited Activities

  • Fraud, misrepresentation, or deceptive practices
  • Listing or selling counterfeit goods or goods infringing intellectual property
  • Money laundering, terrorist financing, or other financial crimes
  • Price manipulation, bid rigging, or anticompetitive conduct
  • Spam, unsolicited commercial messages, or mass marketing abuse
  • Harassment, defamation, or abusive conduct toward other users
  • Listings or transactions involving illegal goods, weapons, narcotics, or sanctioned items

Intellectual Property

All content on the Platform, including logos, designs, text, software, and trademarks, is the property of 7CENTER or its licensors. You may not copy, modify, distribute, or create derivative works without our written consent. You retain ownership of content you submit, but grant 7CENTER a non-exclusive, royalty-free license to use, display, and distribute such content in connection with the Platform.

Payment Terms

Payments may be processed through escrow arrangements for buyer protection. Funds are released to sellers upon successful delivery or as otherwise agreed. Refunds are handled according to our refund policy and dispute resolution outcomes. You are responsible for all applicable taxes. Currency conversion rates are determined by our payment processors. Chargebacks or payment disputes may result in account suspension pending resolution.

Dispute Resolution

We encourage buyers and sellers to resolve disputes directly. If unresolved, you may open a dispute through the Platform. 7CENTER will mediate and review evidence from both parties. If mediation does not resolve the dispute, the matter shall be submitted to binding arbitration under the rules of the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 7CENTER AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY.

Indemnification

You agree to indemnify, defend, and hold harmless 7CENTER, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your breach of these Terms, your violation of any law, or any dispute between you and another user.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to conflict of law principles. Any disputes not resolved through mediation shall be submitted to the exclusive jurisdiction of the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City. The language of arbitration shall be English.
